1. Introduction

Welcome to Wash ("Service"), operated by Tradik ("we", "our", or "us"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, please do not use our Service.

1.1 Consumer Rights Notice

If you are a consumer (an individual acting for purposes outside your trade, business, craft or profession), you have statutory rights under UK law that cannot be excluded or restricted by these Terms. Nothing in these Terms affects your statutory rights under:

  • Consumer Rights Act 2015 (CRA 2015)
  • Consumer Contracts Regulations 2013 (CCR 2013)
  • Digital Markets, Competition and Consumers Act 2024 (DMCCA 2024)

Where these Terms conflict with your statutory rights, your statutory rights will prevail.

2. Description of Service

Wash is a content synchronization platform that connects WordPress websites with Shopify stores. The Service enables automatic synchronization of blog posts, pages, images, and metadata from WordPress to Shopify.

2.1 Shopify Partner Status

Tradik is an independent Shopify Partner (app developer) and Wash is distributed through the Shopify App Store. This means:

  • We are bound by Shopify's Partner Program Agreement
  • Our app has been reviewed and approved by Shopify for distribution
  • We are an independent company — not an employee, agent, or subsidiary of Shopify Inc.
  • Shopify does not provide support for our app; all support is provided directly by Tradik

2.2 Service Components

  • Shopify App: Embedded application installed in your Shopify admin
  • WordPress Plugin: Plugin installed on your WordPress site
  • API Services: Backend infrastructure facilitating synchronization

3. Account Registration

3.1 Requirements

To use our Service, you must:

  • Have a valid Shopify store
  • Have a WordPress website with admin access
  • Provide accurate registration information
  • Be at least 18 years old or have legal authority to enter contracts

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your API keys
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Subscription Plans and Pricing

4.1 Available Plans

4.2 Billing via Shopify

Important: All payments for Wash are processed exclusively through Shopify's billing system. We do not collect or process payment information directly.

  • All prices are in USD
  • Subscriptions are billed monthly through Shopify Billing
  • Shopify acts as the merchant of record for all transactions
  • Charges appear on your Shopify invoice alongside other app charges
  • Billing occurs on the same day each month
  • Prices may change with 30 days notice

4.3 Payment Processing

Because payments are handled by Shopify:

  • Your payment method is managed in your Shopify admin settings
  • We never see or store your credit card or payment details
  • All payment disputes are subject to Shopify's Terms of Service
  • VAT/tax handling follows Shopify's billing policies for your region

4.4 Free Trial

  • No credit card required for FREE plan
  • Upgrade available at any time
  • No automatic conversion to paid plan

5. Refund Policy

5.1 Shopify Billing Refunds

Important: Because all payments are processed through Shopify Billing, refunds are subject to both our policy and Shopify's billing policies.

5.2 Eligibility

Refunds may be requested within 14 days of initial subscription for:

  • Service not functioning as described
  • Technical issues preventing use

5.3 Non-Refundable

Refunds are NOT available for:

  • Change of mind after 14 days
  • Partial month usage
  • Violation of these Terms

5.4 Refund Process

To request a refund:

  1. Contact us at [email protected] with:
    • Your Shopify store URL
    • Reason for refund request
    • Date of subscription
  2. If approved, we will process the refund through Shopify's app credit system
  3. Refunds appear as credits on your next Shopify invoice

Note: Direct refunds to your payment method are handled by Shopify according to their policies.

6. Consumer Rights (UK Customers)

This section applies if you are a consumer based in the United Kingdom.

6.1 Consumer Contracts Regulations 2013 (CCR 2013)

6.1.1 Pre-Contract Information

Before you subscribe, we provide the following information:

  • Trader identity: Tradik, contact via [email protected]
  • Main characteristics: WordPress to Shopify content synchronization service (digital content)
  • Total price: As displayed on our pricing page, inclusive of VAT where applicable (VAT handling per Shopify's regional policies)
  • Payment arrangements: Monthly subscription via Shopify Billing — Shopify is the merchant of record; we do not process payments directly
  • Duration: Monthly rolling subscription until cancelled
  • Cancellation rights: See Section 6.1.2 below
  • Functionality: Synchronizes blog posts, pages, images, and metadata from WordPress to Shopify
  • Compatibility: Requires WordPress 6.0+, PHP 8.0+, and an active Shopify store

6.1.2 Right to Cancel (14-Day Cooling-Off Period)

As a consumer purchasing digital content, you have the right to cancel within 14 days of the contract date without giving any reason.

However, by starting to use the Service immediately after purchase, you acknowledge and agree that:

  • You request immediate performance of the Service
  • You acknowledge that you will lose your right to cancel once the digital content has been fully provided
  • For subscription services, you may still cancel your subscription at any time (see Section 6.3)

6.1.3 How to Cancel

To exercise your cancellation right, you must inform us by a clear statement. You may:

  • Use the model cancellation form below
  • Cancel directly via Shopify: Go to your Shopify admin → Settings → Apps and sales channels → Wash → Cancel subscription (this is the fastest method)

Cancellation via Shopify admin takes effect immediately and stops future billing.

6.2 Consumer Rights Act 2015 (CRA 2015)

6.2.1 Digital Content Standards

Under CRA 2015, the Service (as digital content) must be:

  • Of satisfactory quality: Free from defects, safe, and durable
  • Fit for a particular purpose: Suitable for WordPress-to-Shopify synchronization as described
  • As described: Match the description provided on our website and documentation

6.2.2 Remedies for Faulty Digital Content

If the Service does not meet these standards, you are entitled to:

  • Repair or replacement: We will fix the issue or provide an alternative solution at no extra cost
  • Price reduction: If repair/replacement is not possible or unsuccessful, you may be entitled to a price reduction of up to 100%

You must allow us a reasonable opportunity to repair or replace before seeking a price reduction.

6.2.3 Services Standards

Under CRA 2015, our services must be:

  • Performed with reasonable care and skill
  • Completed within a reasonable time (if no time agreed)
  • Provided at a reasonable price (if no price agreed — note: our prices are clearly stated)

6.2.4 Damage to Device or Digital Content

If our digital content damages your device or other digital content, and this is caused by our failure to use reasonable care and skill, you may be entitled to repair or compensation.

6.3 Digital Markets, Competition and Consumers Act 2024 (DMCCA 2024)

6.3.1 Subscription Contract Requirements

In compliance with DMCCA 2024:

  • Clear pricing: All prices are displayed upfront with no hidden charges or drip pricing
  • Renewal reminders: We will send you a reminder before each renewal period
  • Easy cancellation: You can cancel your subscription at any time through Shopify admin or by contacting us
  • No exit fees: There are no penalties or fees for cancelling your subscription

6.3.2 Subscription Cancellation Rights

You may cancel your subscription at any time. Upon cancellation:

  • Your subscription will continue until the end of the current billing period
  • You will not be charged for subsequent periods
  • You retain access to the Service until the end of your paid period
  • Synced content remains on your Shopify store

6.3.3 Cooling-Off Period for Subscriptions

For new subscriptions, you have a 14-day cooling-off period during which you can cancel for a full refund, subject to Section 6.1.2 regarding digital content.

6.3.4 Transparency Commitments

We commit to:

  • Not using fake reviews or misleading endorsements
  • Displaying genuine customer testimonials only (if any)
  • Clear and honest descriptions of our Service capabilities
  • Transparent pricing with no hidden costs

6.4 Alternative Dispute Resolution

If you are not satisfied with how we handle any complaint, you may refer the dispute to an alternative dispute resolution (ADR) provider. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

We are not obliged to use ADR but will consider doing so on a case-by-case basis.

7. Acceptable Use

7.1 You May

  • Synchronize content you own or have rights to
  • Use the Service for legitimate business purposes
  • Integrate with your Shopify store as intended

7.2 You May Not

  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to violate any laws or regulations
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Use the Service to infringe intellectual property rights
  • Share your account credentials with third parties
  • Resell or redistribute the Service without authorization
  • Use automated tools to abuse API rate limits

8. Content and Intellectual Property

8.1 Your Content

  • You retain all rights to your WordPress and Shopify content
  • You grant us a limited license to process and transmit your content
  • You are responsible for ensuring you have rights to sync content

8.2 Our Intellectual Property

  • Wash name, logo, and branding are our trademarks
  • Service code, design, and documentation are our property
  • You may not copy, modify, or distribute our intellectual property

8.3 Third-Party Trademarks and Relationships

  • WordPress is a registered trademark of the WordPress Foundation
  • Shopify is a registered trademark of Shopify Inc.
  • Tradik is an independent Shopify Partner (app developer) — we are not an employee, agent, joint venturer, or subsidiary of Shopify Inc.
  • We are not affiliated with, endorsed by, or sponsored by the WordPress Foundation
  • Our participation in the Shopify Partner Program does not imply endorsement of our services by Shopify Inc.

9. Privacy and Data

9.1 Data Processing

  • We process data as described in our Privacy Policy
  • We do not sell your personal information
  • We comply with GDPR and CCPA requirements

9.2 Data Synchronization

  • Content is transmitted securely via HTTPS
  • We do not store copies of your synced content
  • API keys are encrypted at rest

10. Service Availability

10.1 Uptime

  • We target 99.9% uptime availability
  • Scheduled maintenance will be announced in advance
  • We are not liable for downtime beyond our control

10.2 Modifications

We reserve the right to:

  • Modify or discontinue features with notice
  • Update these Terms with 30 days notice
  • Change pricing with 30 days notice

11. Limitation of Liability

11.1 Consumer Rights Preserved

Important: If you are a consumer, nothing in this section affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection laws. The limitations below apply only to the extent permitted by law.

11.2 Disclaimer (Business Users Only)

For business users only: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

This disclaimer does not apply to consumers, who retain full statutory warranty rights under CRA 2015.

11.3 Limitation

To the maximum extent permitted by applicable law, TRADIK SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the amount paid in the last 12 months

11.4 Exclusions That Do Not Apply

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession)
  • Defective products under the Consumer Protection Act 1987
  • Any matter for which it would be illegal for us to exclude or limit liability
  • Your statutory rights as a consumer under CRA 2015

11.5 Fairness Statement

We believe these limitations are fair and reasonable in the context of a subscription digital service. If you have concerns about any term, please contact us before subscribing.

12. Indemnification

You agree to indemnify and hold harmless Tradik from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your infringement of third-party rights
  • Content you synchronize through the Service

13. Termination

13.1 By You

You may terminate your subscription at any time through:

  • Shopify admin (recommended): Settings → Apps and sales channels → Wash → Cancel subscription
  • Contacting [email protected]

Cancellation via Shopify admin is immediate and stops all future billing automatically.

13.2 By Us

We may terminate or suspend your access if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in abusive or fraudulent behavior

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • Synced content remains on your Shopify store
  • We may delete your account data after 30 days

14. Dispute Resolution

14.1 Informal Resolution

Before filing any claim, you agree to contact us at [email protected] to attempt informal resolution.

14.2 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

14.3 Jurisdiction

Any disputes shall be resolved in the courts of England and Wales, unless prohibited by local law.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Tradik regarding the Service.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms. We may assign our rights to a successor entity.
